The scope of each engagement is defined in a separate Statement of Work or engagement letter, which shall take precedence over these Terms in case of conflict.

3. Engagement Terms

Statement of Work (SOW): All service engagements are governed by a mutually signed SOW or engagement letter specifying the scope, deliverables, timeline, fees, and any special conditions. No service obligation arises from website enquiries alone.

Payment terms: Unless otherwise agreed in the SOW, invoices are due within 15 days of issue. Goodville reserves the right to pause or suspend service delivery on accounts overdue by more than 30 days. Late payments may attract interest at 18% per annum or the rate prescribed by applicable Indian law, whichever is higher.

Termination: Either party may terminate an engagement with 30 days' written notice, unless a different notice period is specified in the SOW. In the event of termination, the client shall pay for all services rendered up to the effective date of termination. Goodville may terminate immediately where a client has materially breached these Terms or any applicable law.

4. Intellectual Property

Client deliverables: Reports, documents, analysis, and other written deliverables produced specifically for a client engagement become the client's property upon full payment of all outstanding fees related to that engagement.

Goodville methodology: All underlying methodologies, frameworks, templates, tools, proprietary databases, and know-how developed or used by Goodville in the delivery of services remain the exclusive intellectual property of Goodville. Nothing in any engagement grants the client a licence to Goodville's methodology IP beyond the scope required to benefit from the delivered work.

Website content: All content on goodville.co.in — including text, graphics, logos, and design — is the property of Goodville and protected by applicable copyright laws. Reproduction without written permission is prohibited.

5. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Goodville shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of contracts, loss of data, or loss of goodwill — arising from or related to your use of our website or services, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising from or related to a specific engagement shall not exceed the total fees paid by the client to Goodville in respect of that engagement during the 3 months preceding the event giving rise to the claim.

These limitations do not apply to liability arising from fraud, fraudulent misrepresentation, death, or personal injury caused by Goodville's gross negligence.

6. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. The courts of Raipur, Chhattisgarh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or any engagement with Goodville, unless otherwise agreed in a signed SOW.
